KUDELSKI SA PRESS RELEASE

Cheseaux, 10 May 2005 – At the next General Shareholders' meeting of Kudelski SA, Mr Alexandre Zeller will be proposed as new Board member. Mr Gérard Limat, Board member, plans to leave the Board of Directors during the General Shareholders' meeting of May 2nd, 2006.

During the General Shareholders' meeting of May 10th, 2005, the Kudelski SA Board members will be proposed for re-election. After ten years as member of the Board, Mr Gérard Limat would like to leave the Board at the General Shareholders' meeting of May 2nd, 2006. Therefore, Mr Limat will be presented for re-election for the last time at the May 10th, 2005 General Shareholders' meeting.

Mr Alexandre Zeller will be proposed as new Board member during the next General Shareholders' meeting of Kudelski SA.

A Swiss national, born in 1961, Mr Alexandre Zeller graduated in Economic Sciences from the University of Lausanne. He started his career with Nestlé in 1984 as operational auditor, and three years later joined Credit Suisse. He occupied various functions within the large Swiss bank, namely in the credit sector, managing branch offices and in the area of private banking both at the Swiss level and at the international level. In 1999 he was appointed to the Executive Board of Credit Suisse Private Banking.

Since November 2002, Mr Alexandre Zeller is CEO of the Banque Cantonale Vaudoise.

Mr. Zeller's competence and experience in the financial management sector should be a strong asset for the Kudelski Group.

Business activities
The Kudelski Group digital TV business has continued to develop strongly during the first semester 2005, in line with 2004 and according to expectations.

The Group continues to expand in the growing sector of digital terrestrial television in Europe. Already a leader in this activity in Italy and in Great Britain, the Group will extend its leadership to France in the digital terrestrial sector.
